Evidence

Evidence Quality

fit

Committee Fit
The alignment between a director's expertise, experience and behavioural style and the mandate, composition needs and risk profile of a specific board committee.

integrity

Conflict of Interest
A situation in which a director's personal, financial or professional interests could improperly influence — or appear to influence — the exercise of their duties to the organization.

oversight

Risk Oversight
The board's responsibility to ensure that material risks — strategic, financial, operational, regulatory and reputational — are identified, monitored and challenged with appropriate independence.

Overboarding Risk

Red Flag
